Advent, a Boston-headquartered global private equity investor, has signed an agreement to acquire Vermeg from Charterhouse Capital Partners and Vermeg founder Badreddine Ouali.

A wholly owned subsidiary of the Abu Dhabi Investment Authority (ADIA) is participating in the transaction as a minority co-investor.

Ouali will remain a shareholder and continue to support the firm's strategic and client priorities as vice chairman.

Vermeg's capital markets business provides post-trade processing and collateral management technology, serving clients including central banks, clearing houses, central securities depositories, custodians, and buy side and sell side firms.

The firm's life insurance division provides core policy administration technology to life and health insurers, primarily in France and the Benelux.

According to Advent, the transaction will support further investment in Vermeg's products, AI capabilities, and client relationships globally.

Mike Ettling, an operating partner at Advent, will become chairman of Vermeg on completion of the transaction, and currently serves as chairman of Advent portfolio companies Sapiens and Syspro.

Douglas Hallstrom, managing director at Advent, says: “Vermeg is positioned at the intersection of powerful structural trends reshaping global capital markets, as increasing regulatory complexity, harmonisation of post-trading workflows, and the accelerating shift towards sovereignty of market infrastructure fuel demand for its mission-critical technology.

“We are thrilled to partner with Badreddine and the Vermeg team, and we look forward to working with Mike as Chairman to build on Vermeg’s incredible foundation, and to accelerate innovation, growth, and customer success.”

Ouali comments: “Our teams have spent years building software that financial markets and insurers rely on, and I am proud of what they have achieved.

“Advent brings the experience and resources to support the next chapter of that work, and I am excited to remain a shareholder and advisor as Vermeg deepens its market leadership and continues to prioritise customer outcomes.”
